These Terms of Service (“Terms”) govern your access to and use of accellist.com and related services (the “Service”) provided by Accellist, Inc. (“Accellist”, “we”, “us”). By using the Service, you agree to these Terms and our Privacy Policy.
1. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter a binding contract to use the Service.
2. The Service
Accellist is a curated directory of service providers (“Agencies”) and a platform for buyers to discover and contact them. Accellist does not itself provide agency services. Any transaction between you and an Agency is directly between those parties. Accellist is not a party to, and is not responsible for, such transactions.
3. Accounts
If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use.
4. Agency Listings
- Listings may be created by our editorial team from publicly available information, or by agencies themselves via our claim flow.
- Agencies that claim a listing warrant that they have authority to do so.
- Agencies are responsible for the accuracy of their listing content.
- Accellist reserves the right to modify, suspend, or remove any listing at its discretion.
5. User Conduct
You agree not to:
- Use the Service for any unlawful purpose or to violate any applicable laws.
- Scrape, copy, or otherwise extract data from the Service except as expressly permitted.
- Use automated means (bots, scripts, crawlers) to access the Service without our written permission.
- Reverse engineer, decompile, or attempt to extract source code.
- Submit false, misleading, defamatory, harassing, or infringing content.
- Interfere with the Service’s security or other users’ use.
6. User Content
By submitting content (quote requests, reviews, agency profiles), you grant Accellist, Inc. a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, display, and distribute that content in connection with the Service. You represent that you have all necessary rights to grant this license.
7. Paid Plans
Premium, Featured, and Platinum plans are subscription-based. Fees are billed in advance, non-refundable except where required by law, and auto-renew until cancelled. We may change pricing with 30 days’ notice to existing subscribers.
8. Intellectual Property
The Service, including its content, features, logos, and software, is owned by Accellist, Inc. or its licensors and protected by copyright, trademark, and other laws. Except as expressly permitted, you may not reproduce or use any portion of the Service.

10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. Accellist, Inc. DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SEE OUR DISCLAIMER.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, Accellist, Inc., ITS AFFILIATES, OFFICERS, AND EMPLOYEES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. IN NO EVENT WILL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR USD 100, WHICHEVER IS GREATER.
12. Indemnification
You agree to defend, indemnify, and hold harmless Accellist, Inc. and its affiliates from any claims arising out of your use of the Service, your content, or your violation of these Terms.
13. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason including violation of these Terms.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction.
Arbitration (US residents): You and Accellist, Inc. agree that any dispute will be resolved through binding individual arbitration administered by the American Arbitration Association, except for claims that qualify for small-claims court and claims for injunctive relief. YOU WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.
15. Changes
We may modify these Terms at any time. Material changes will be communicated through the Service or by email. Continued use after changes constitutes acceptance.
